4.2 Client Projects
Upon full payment, clients own the custom code, design, and deliverables created specifically for their project. Soto Web Studios retains the right to use completed projects in our portfolio and marketing materials unless otherwise agreed in writing.
5. Payment Terms
Payment terms will be specified in individual project agreements. Generally:
- Projects typically require a deposit before work begins
- Final payment is due upon project completion and delivery
- Late payments may incur additional fees or result in suspension of services
- All fees are non-refundable unless otherwise specified in writing
6. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information about project requirements
- Providing timely feedback and approvals
- Providing necessary materials, content, and access credentials
- Ensuring they have rights to any content or materials provided
- Making timely payments as agreed
7. Warranty and Limitation of Liability
7.1 No Warranty

10. Project Cancellation

- Client is responsible for payment for all work completed up to the cancellation date
- All materials and code remain the property of Soto Web Studios until full payment is received
- Deposits are non-refundable
11. Confidentiality
Soto Web Studios agrees to maintain the confidentiality of all proprietary information shared by clients during the course of a project. We will not disclose confidential information to third parties without written consent, except as required by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Soto Web Studios, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of the Site or violation of these Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Georgia.
14. Changes to Terms
Soto Web Studios reserves the right to revise these Terms at any time without notice. By using this website, you are agreeing to be bound by the then current version of these Terms.
